Terms of Service

1. Acceptance of Terms

By accessing or using CiaoJin ("the Platform", "we", "us", "our"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use the Platform. These Terms constitute a legally binding agreement between you and CiaoJin S.r.l.

2. Eligibility

You must be at least 16 years of age to create an account and use CiaoJin. By registering, you represent and warrant that you meet this requirement and that all information you provide is accurate, current, and complete. Users under 18 may require parental or guardian consent depending on their jurisdiction.

3. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at legal@ciaojin.com of any unauthorised use of your account. CiaoJin will not be liable for any loss arising from your failure to keep your credentials secure.

4. Earnings & Rewards

CiaoJin enables users to earn monetary rewards based on their engagement activity on the Platform, including posts, reactions, shares, and comments. Earnings accrue in your in-app wallet and may be withdrawn to a verified bank account or payment method. We reserve the right to adjust reward rates, introduce caps, or suspend earning functionality with 30 days' prior notice except where required by applicable law. Earnings are calculated at our sole discretion and are not guaranteed to be consistent across users or time periods. Any earnings constituting taxable income are your sole responsibility to declare and pay.

5. Prohibited Conduct

You agree not to: (a) use automated bots, scripts, or artificial means to generate engagement or earnings; (b) post content that is unlawful, defamatory, harassing, obscene, or that infringes any third-party intellectual property rights; (c) attempt to reverse-engineer, decompile, or disassemble any part of the Platform; (d) use the Platform for any fraudulent or commercial solicitation purpose; (e) impersonate any person or entity; (f) engage in any activity that disrupts or interferes with the Platform's infrastructure. Violation of these rules may result in immediate account termination and forfeiture of accrued earnings.

6. Content Ownership & Licence

You retain ownership of all content you post on CiaoJin. By posting content, you grant CiaoJin a worldwide, royalty-free, non-exclusive, sublicensable licence to use, reproduce, distribute, prepare derivative works of, display, and perform that content in connection with the operation and promotion of the Platform. You represent that you have all rights necessary to grant this licence. CiaoJin's own trademarks, logos, and proprietary content remain exclusively ours.

7. Intellectual Property

All software, design, text, graphics, and other materials comprising the Platform — except user-submitted content — are owned by or licensed to CiaoJin and are protected by applicable intellectual property laws. Nothing in these Terms transfers any such rights to you.

8. Disclaimers

The Platform is provided "as is" and "as available" without warranty of any kind, express or implied. We do not guarantee that the Platform will be uninterrupted, error-free, or free of viruses. To the fullest extent permitted by law, CiaoJin disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by applicable law, CiaoJin and its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising from your use of or inability to use the Platform. Our aggregate liability to you for all claims shall not exceed the total amount paid by you to CiaoJin in the twelve months preceding the claim, or €100, whichever is greater.

10. Termination

We may suspend or terminate your account and access to the Platform at any time, with or without cause, with or without notice. Upon termination, your right to use the Platform ceases immediately. Any accrued earnings at the time of termination will be handled in accordance with our Earnings Policy, which may require verification before final payout. Provisions that by their nature should survive termination shall do so, including Sections 6, 8, 9, and 12.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or an in-app notification at least 14 days before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms. If you disagree with any changes, you may close your account before they take effect.

12. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of Italy, without regard to its conflict-of-law provisions. Any dispute arising from or relating to these Terms or your use of the Platform shall first be submitted to good-faith negotiation. If unresolved within 30 days, disputes shall be resolved by the courts of Milan, Italy, except where mandatory consumer protection laws in your jurisdiction provide otherwise.
